The directors’ of Unique Property Bulletin Ltd and the public share issuing Unique Property plc from 1997 (before this company went private in 2007), have been seriously concerned abut a growing abuse on social media and crowd-funder platforms. Specifically the risky loophole of the “Sophisticated Investor” protocol.
There are 5 law officers within the shareholder base across Unique Property Bulletin Ltd., and the 11 other ring-fenced limited companies.
In summary after these 5 law officers discussed the concerns, the Unique Property Bulletin Ltd., company have adopted the recommendation to increase shareholder financial safety so that the “Sophisticated Investor” protocol cannot be abused. At east not in any Unique Property Club projects.

Why
Use Convertible Bond Certificates
It is illegal to issue shares to members’ of the public without being a public limited company and possess all the relevant authorisations.
We tried this in 1997 with Unique Property plc.
It was expensive then and now ould cost around £28,000 in legal + accountancy + regulatory compliance fees etc.
That makes it a very expensive way to buy and renovate buildings.
A main principle is we BAN bank mortgages. But they would be far cheaper than the millstone of regulatory compliance and £8,000 a year in fees.
Fortunately, the financial services laws and the Financial Conduct Authority have EXEMPTIONS in place.
Ironically, the subject of legal EXEMPTIONS was a significant part of lessons in law that our managing director studied at Strathclyde Police Training HQ and especially at Tulliallan Police College…

There is a major problem with EXEMPTIONS.
Whether criminal law or civil statute, EXEMPTIONS can be abused.
With any property-club, and in fact hugely with internet crowd-funder platforms, the EXEMPTION OF CHOICE is the “Sophisticated Investor” protocol.
This is an easy loophole to avoid £28,000 of financial services legislation.
You just need to buy, say £10 of shares in couple of “unlisted companies” and hey presto, you are a “Sophisticated Investor.”

With respect to the law, it is incredibly difficult to get the letter and the spirit of written legislation to fit all circumstances.
In this instance, the directors of Unique Property Club are simply NOT happy to abuse a loophole in the law.
We have a far safer protocol in place.
But before that, you may wonder who we are to say NO to this loophole in the financial services law?
Well, our managing director and four shareholders served as law officers.
Plus we have two barristers (King’s Counsel) and two lawyers within our 93 current shareholder base across the 12 limited companies. Not one of these legal beagles likes the current “Sophisticated Investor” loophole.
Each law officer would like a protocol that is far, far safer to new and existing members.

For the sake of good form, below is the actual legal document from the financial services legislation and the Financial Conduct Authority on “Sophisticated Investor” rules.
If you read this carefully, you will see the way someone can bypass the financial safety element (especially if forced by a dodgy company) and buy a couple of £10 share certificates. Then you become a “sophisticated Investor.”
But counsel from our pro bono (free) barristers and our police officer MD and shareholder members of Unique Property Bulletin Ltd., state tat this is wide open to abuse. In fact several instances of what we wared the FCA about have appeared on Facebook and elsewhere.
So Unique Property Bulletin has
established a safer way than this…

the FCA are working hard to
remedy this loophole.

The law above means an unscrupulous company can pressurise folk into coughing up tens of thousands of pounds by exploiting the “Sophisticated Investor” loophole.
Worse, at “C” above, this abuse can be executed in ONE or TWO days by unscrupulous miscreants.
So what is the better and safer way?
